JOB DESCRIPTION: Nacelle is seeking an experienced Corporate Attorney (Independent Contractor) who shares our passion for accelerating the transition to clean energy. You will work directly with clients and senior counsel on active M&A and corporate matters across the firm’s renewable energy and data center practices, often navigating tight timelines and complex stakeholder dynamics. Candidates should be comfortable working independently, exercising judgment in ambiguous situations, and engaging directly with sophisticated clients and counterparties. This role will play a foundational part in building, shaping, and leading Nacelle’s M&A and corporate practice. The ideal candidate is excited to execute transactions, and help develop internal processes and best practices as this area of the firm continues to grow. This is an opportunity to take meaningful ownership and help define how M&A and corporate law are practiced at Nacelle. As Nacelle continues to grow, this role offers meaningful opportunities for expanded responsibility, deeper client ownership, and long-term collaboration with the firm. This position is expected to ramp up over time, beginning with a more limited and flexible workload as the M&A and corporate functions are established, and growing into a more consistent commitment of approximately 25+ hours per week, depending on project needs and deal flow. REQUIREMENTS: • Juris Doctor degree from an accredited law school and active bar admission(s) in good standing. • 5+ years of experience in corporate, M&A, or project finance transactions focused on renewable energy projects, including direct experience with project-level acquisitions and dispositions. • Strong familiarity with asset and equity acquisitions/sales in the renewables sector. • Excellent, detail-oriented, high-accuracy drafting skills. • Demonstrated ability to run and negotiate deals independently, including direct client interaction. • Strong verbal communication, organizational, and client-management skills. • Demonstrated ability to exercise sound legal and commercial judgment. • Ability to manage multiple matters simultaneously in a fast-paced environment. • Interest in and commitment to renewable energy and infrastructure development. • Ability to represent the firm professionally and build long-term client relationships. PRIMARY RESPONSIBILITIES: Project-Level M&A • Lead and manage acquisitions and divestitures of renewable energy projects, including solar, wind, storage, and hybrid assets. • Draft, negotiate, and advise on renewable energy–specific purchase and sale agreements, membership interest purchase agreements, asset purchase agreements, and related ancillary documents. • Coordinate and manage legal due diligence, including title, real property, permits, interconnection, PPAs, O&M, EPC, and other project contracts. • Support transaction structuring in collaboration with client tax, finance, and development teams. Deal Execution & Closing • Manage transaction timelines, closing deliverables, and post-closing obligations. • Interface with counterparties, lenders, and tax equity investors in connection with client transactions. • Identify legal risks and propose practical, business-oriented solutions. Corporate & Commercial Matters • Draft, review, and negotiate NDAs, MSAs, and other commercial agreements in support of client operations and transactions. • Provide general corporate support, including entity formation, maintenance, and governance matters for project companies and related affiliates. Cross-Functional Support • Advise internal teams on development-to-M&A readiness, including data room preparation and transaction readiness. • Support financings and joint ventures as needed in connection with acquisitions or exits. Governance & Compliance • Assist with corporate governance matters related to project entities. • Ensure compliance with internal policies and applicable regulatory requirements.
