Note: The job is a remote job and is open to candidates in USA. Saturday Legal is a legal consulting firm that provides strategic support to high-growth companies and their investors. The Legal Project Manager will focus on managing venture capital and private financings, including cap table management and assisting with the fundraising lifecycle.
Responsibilities
• Manage the entire contract workflow for venture and other financings, including preparing and revising NDAs, SAFEs, convertible notes, preferred stock purchase agreements, investor rights and voting agreements, side letters, and related ancillary documents based on existing forms, including NVCA documents; distinguishing between material vs. non-material legal and business issues; routing contracts for approval and signature; filing finished contracts; and tracking key dates and closing deliverables
• Update and maintain the library of form documents, contract clauses, financing playbooks, and cap table templates, as needed
• Maintain corporate minute books, including drafting written consents and board/shareholder resolutions for equity issuances, option grants, and venture financings; gathering approvals and signatures; and responding to internal and external requests for corporate records and capitalization information
• Coordinate registered agent responsibilities and manage state corporate filings and annual reports for client entities, including filings triggered by new financings or changes to the capitalization structure
• Manage relationships with outside counsel and oversee their work, including optimizing efficiencies and managing clients' outside legal spend on fundraisings, cap table cleanups, and corporate maintenance projects
• Update and maintain the virtual data room used by external investors, including organizing capitalization, financing, and corporate governance documents to support due diligence and closings
• Act as project manager on multiple legal initiatives, tasks and projects, with a focus on coordinating venture financings, secondary transactions, and option refreshes across internal and external stakeholders
• Manage equity and capitalization records, including maintaining accurate cap tables and option records in Carta (or similar platforms), processing new financings and equity issuances in the system, and reconciling company records with platform data
• Support the full lifecycle of venture capital and other private financings, from pre-transaction cap table cleanup and scenario modeling, through term sheet and closing documentation support, to post-closing cap table and stock ledger updates
• Have a willingness to perform legal assistant and administrative tasks as needed, including gathering signatures, managing and organizing all electronic and hard copy files (filing, scanning, saving and copying), creating/updating binders and closing sets for financings, and a willingness to pitch in as needed and be responsive to new/additional requests in a startup workplace

• Strong organizational and communication skills with the ability to work independently, take ownership of projects, adapt to changing priorities, maintain patience in high pressure situations (including tight financing timelines), and take initiative where appropriate
• A desire to work in a fast paced, casual, and oftentimes ambiguous environment that is typical of venture-backed startups and growth companies
• Experience managing highly confidential information and materials with professionalism and unquestionable integrity, including sensitive cap table, valuation, and investor information
• An outstanding knowledge of MS Office (including Word, PowerPoint and Excel), Microsoft SharePoint, Google G-Suite, Adobe (secure .pdfs; redactions), and DocuSign, with strong Excel skills for cap table and financing-related analyses
• 5+ years' experience working at a major law firm or in-house legal department, with substantial exposure to venture capital or other private company financings, cap table management, and corporate/transactional matters
• Advanced Carta administration experience (including primary and secondary financings, tender offers, and option plan administration) strongly preferred
• Comfort and fluency with AI tools, including Claude, ChatGPT, or other generative AI platforms, with a demonstrated eagerness to experiment with and adopt new AI technologies that enhance legal workflows
• Paralegal certification a plus
